Article I. Identity
This organization shall be known as the Engineering Research Center for Revolutionizing Metallic Biomaterials Student Association (RMBSA).
Article II. Purpose
This RMBSA provides a forum for students participating in studies and/or research related to the Revolutionizing Metallic Biomaterials Engineering Research Center. Additionally the RMBSA is formed to facilitate the fulfillment of student responsibilities set forth by the NSF as they relate to the ERC for RMB.
Article III. RMBSA Membership
§ 1. Active membership. Students attending a recognized postsecondary educational institution which is a collaborating member of the ERC for RMB and studying or performing research related to the ERC for RMB shall be eligible for active RMBSA membership.
§ 2. Members rights and responsibilities. Active members shall be able to vote on all issues presented by the SLC to the RMBSA. In no case may any member have more than one vote on an individual motion. Members are expected to actively engage in the activities of the RMBSA
Article IV. Structure
§ 1. Governance. The RMBSA will be governed by the Student Leadership Council (SLC). The SLC will be composed of one co-president and co-vice president from each core university).
§ 2. Local RMBSA chapters. The ERC for RMB core universities are geographically separated by a large distance which limits the abilities to gather all RMBSA members for meetings. Due to difficulties of organizing and logistics of gathering all active members of the RMBSA together for meetings, the RMBSA will consist of local chapters at each core institution. The local chapters of the RMBSA will be governed by the Co-President, and include offices of vice president, secretary and treasurer.
Article V. RMBSA and SLC Offices
§ 1. SLC Officers. The officers of this SLC shall be the Co-Presidents (One SLC Co-President shall be appointed at each core ERC for RMB university.), Local Vice President, Secretary and Treasurer. All SLC officer appointments shall be made to active RMBSA members only.
§ 2. Local RMBSA Offices. Each core university RMBSA shall maintain official positions of Local Secretary and Local Treasurer. All local RMBSA officer appointments shall be made to active RMBSA members only.
§ 3. Additional Offices. Offices may be created as the need arises. Local offices can be created at a local RMBSA by a majority vote of the active RMBSA members present at a regularly scheduled meeting. Additional SLC positions may be created by a consensus among the Co-Presidents and ratification by the local RMBSAs.
§ 4. Term of office. Each officer shall serve from the time of his installation until the installation of his successor. The officers shall be appointed by a majority vote from RMBSA members.
§ 5. Vacancies. If a vacancy occurs among the SLC officers or junior officers of the
SLC, the Secretary shall immediately notify all active and associate members that a vacancy has occurred. At the first regularly scheduled RMBSA meeting occurring after this notification, nomination shall be made and elections held to fill the vacant office and any offices vacated as a result thereof.
§ 6. Removal from office. An officer shall be liable for removal from office upon written petition of a majority of the active members of the local RMBSA. Written charges must be sent to the officer under consideration at least thirty days prior to the removal proceedings, and the officer shall at that time be suspended from performing further duties of the office. The Local RMBSA shall appoint an active member to fill the office for the duration of the proceedings and shall submit a written report to the SLC and RMBSA before a vote is taken. The removal proceedings shall be held at a regularly scheduled RMBSA meeting at which a majority of the active members are present at the time of the proceedings. All of the active and associate members shall be notified of the proceedings, at least seven days prior to the proceedings. For due cause and after just deliberation, an officer may be removed by an affirmative vote of two-thirds of the active members present at the proceedings..
Article VI. Duties of Officers
§ 1. Co-presidents. The Co-President shall coordination and preside at all official meetings of the RMBSA at the ERC for RMB university in which they are enrolled. The president is responsible for coordinating local RMBSA activities with the agenda of the SLC. The co-president is responsible for reporting local RMSA concerns and activities to the SLC. The co-president shall give supervision to the RMBSA and its officers, and shall see that the duties of the SLC are fulfilled locally.
§ 2. Vice-President. Each core university shall maintain a vice-president of the local RMBSA. The vice president shall attend all official RMBSA meetings. The Vice President is responsible for assisting the Co-President in carrying out the directives of the SLC and RMBSA. The V.P. shall fulfill all the responsibilities of the Co-President in such a situation where the Co-President is unable to perform the duties assigned.
§ 3. SLC Secretary. The Secretary shall coordinate the internal affairs of the SLC. The Secretary shall be responsible for keeping the RMBSA members informed of all matters pertaining to the SLC, and for recording the administrative details of the SLC. The SLC Secretary shall assure that the attendance and minutes of each Student Leadership Council meeting are recorded, and see that these minutes are placed in the SLC archives and made available for inspection by RMBSA members. The SLC Secretary shall keep up-to-date the copy of these bylaws on file with the ERC for RMB, and shall submit to them the names of all members elected to any office in the RMBSA immediately upon their assuming office.
§ 4. SLC Treasurer. The SLC Treasurer shall coordinate the financial record keeping for the SLC and RMBSA. The SLC Secretary shall maintain archives of the SLC financial activity and shall make them available for the members inspection. The SLC Treasurer shall coordinate the reports with the Local Treasurers.
§ 4. Local Secretary. The Local Secretary shall coordinate the internal affairs of the RMBSA at the core university which the secretary is a member. The Local Secretary is responsible for recording attendance and minutes for local RMBSA meetings. The Local Secretary is not a member of the SLC. The local secretary shall submit quarterly reports to the SLC secretary.
§ 5. Local Treasurer. The Local Treasurer shall coordinate all financial record keeping for the local chapter of the RMBSA. The Local Treasurer is not a member of the SLC. The local treasurer is responsible for submitting quarterly reports to the SLC Treasurer.
Article VII. Student Leadership Council
§ 1. Membership. The Student Leadership Council of the RMBSA shall consistof the offices of the Co-President and Vice President from each core institution. The other Association members and advisors may attend the meetings of the Student Leadership Council and have floor privileges, but shall not have voting rights. No member of the Student Leadership Council shall have more than one vote on any issue.
§ 2. Meetings. The Student Leadership Council shall meet at least quarterly. Specialmeetings of the Student Leadership Council may be held upon the call of a Co-President, or upon written request of one-third of the members of the Student Leadership Council.
§ 3. Duties of the Student Leadership Council. The duties of the Student Leadership Council shall be:
1. To be responsible for carrying out the resolutions, policies, and activities of the RMBSA.
3. To refer to the RMBSA such legislation as it may desire.
5. To analyze the past projects of the RMBSA, weigh their value, and determine the advisability of their continuance.
6. To analyze any particular problems of the Association pertaining to its program or administration, and plan for their solution.
7. To perform all other duties as directed by the these bylaws, or the Association.
§ 4. Quorum. A Quorum of the Student Leadership Council shall be a majority of
the voting members of the Student Leadership Council.
Article VIII. Meetings
§ 1. Regularly scheduled Association meetings. The local RMBSA shall meet at least bi-annually. Additional meetings may be scheduled upon a majority vote of the active members of the local RMBSA.
Article IX. Amendments
Amendments to the RMBSA bylaws may be proposed by any RMBSA active member. Amendments to the BMBSA bylaws may be enacted only by a unanimous vote by the SLC members.
